These Terms and Conditions govern the use of the FoodMenu platform. By registering for or using the platform, the User acknowledges that they have read, understood, and agreed to be bound by these Terms and Conditions.
1. Definitions
- Company — Idea Design Group LLC.
- Platform — FoodMenu, a digital QR menu management system.
- User — Any individual or legal entity using the Platform.
- Venue — A café, restaurant, bar, hotel, or any other establishment for which FoodMenu is used.
2. Description of Services
FoodMenu is an online platform that enables Users to:
- Create and manage digital QR menus;
- Add categories, products, prices, and descriptions;
- Manage multilingual menus;
- Upload photos and other visual content;
- Generate QR codes;
- Manage one or multiple venues from a single administration panel;
- Update content in real time.
3. Registration and User Account
3.1. The User shall provide accurate, complete, and up-to-date information during registration.
3.2. The User is responsible for maintaining the confidentiality and security of their account credentials.
3.3. The User is responsible for all activities conducted through their account.
4. Free Trial
4.1. The standard FoodMenu free trial period is one (1) month. However, the Company may, for strategic, marketing, promotional, partnership, or other business purposes, agree with specific Users or groups of Users on a different free trial duration and conditions.
4.2. Upon expiration of the free trial period, continued access to the Platform requires the purchase of an active subscription plan.
4.3. The Company reserves the right to modify or discontinue the free trial program at any time.
5. Subscription Services
5.1. FoodMenu is available through the following subscription plans:
- Monthly Subscription — EUR 25 per month;
- Annual Subscription — EUR 250 per year.
5.2. Subscription fees shall be paid in advance.
5.3. In the event of late payment, the Company shall notify the User accordingly. If payment is not received within seven (7) calendar days from the date of notification, the Company reserves the right to temporarily suspend access to the Platform and related services until the outstanding balance is fully settled.
5.4. Seasonal businesses may temporarily suspend their subscription and resume service later by purchasing a new subscription period.
6. Menu Content and User Responsibilities
6.1. Users may independently create and manage their menus.
6.2. As an additional service, the Company may assist Users in creating and uploading menu content based on information and materials provided by the User.
6.3. The User is solely responsible for all content published on the Platform, including but not limited to:
- Prices;
- Product descriptions;
- Ingredients;
- Allergen information;
- Promotions and special offers;
- Uploaded photographs and media files.
6.4. The Company shall not be liable for the accuracy or legality of content uploaded by the User.
7. Intellectual Property Rights
7.1. All intellectual property rights related to the Platform, including its software, design, structure, functionality, trademarks, and branding, belong exclusively to the Company.
7.2. The User retains ownership of content uploaded to the Platform.
7.3. The User warrants that they possess all necessary rights and permissions for any content uploaded to the Platform.
8. Prohibited Activities
Users are prohibited from:
- Attempting unauthorized access to the Platform;
- Interfering with the operation of the Platform;
- Uploading or distributing malicious software;
- Violating the rights of third parties;
- Using the Platform for unlawful purposes.
9. Service Availability
9.1. The Company will use reasonable efforts to ensure stable and reliable operation of the Platform.
9.2. Service interruptions may occur due to maintenance, upgrades, force majeure events, or circumstances beyond the Company's control.
9.3. The Company does not guarantee uninterrupted or error-free operation of the Platform.
10. Limitation of Liability
10.1. The Company shall not be responsible for the accuracy of information entered by the User.
10.2. The Company shall not be liable for:
- Loss of profits;
- Business interruption;
- Damages caused by third parties;
- Service disruptions caused by internet providers, hosting providers, or external systems.
10.3. Under no circumstances shall the Company's total liability exceed the amount paid by the User for the Services during the preceding twelve (12) months.
11. Service Suspension and Termination
11.1. If the User wishes to terminate or temporarily suspend the Service, the User must notify the Company at least fifteen (15) calendar days in advance via email or through the Company's official social media channels.
11.2. Service termination or suspension shall become effective upon receipt and confirmation of the User's notification by the Company.
11.3. If the User fails to provide the required advance notice, the Company reserves the right to consider the current subscription period active and no refund shall be provided.
11.4. The Company reserves the right to suspend or terminate access to the Platform if:
- These Terms and Conditions are violated;
- Illegal activity is detected;
- Subscription fees remain unpaid;
- The User's actions negatively affect the Platform, the Company, or other Users.
12. Personal Data
12.1. The Company shall process only the personal data necessary to provide the Services.
12.2. Personal data shall be processed in accordance with applicable laws and regulations.
12.3. Personal data shall not be disclosed to third parties except where required by law.
13. Refund Policy
13.1. FoodMenu is a subscription-based software service for which fees are paid in advance.
13.2. Subscription fees are non-refundable once the subscription period has commenced and the User has been granted access to the Platform.
13.3. If the User chooses to terminate, suspend, or discontinue use of the Service before the end of the subscription period, no refund, credit, or transfer of unused subscription fees shall be provided unless otherwise agreed in writing by the parties.
13.4. In exceptional cases, for strategic, partnership, marketing, promotional, or other business reasons, the Company may, at its sole discretion, decide to issue a full or partial refund.
13.5. If the Company is unable to provide the Service due to its own fault and the issue is not resolved within a reasonable period, the Company may individually review and decide upon requests for full or partial refunds.
14. Amendments
The Company reserves the right to modify these Terms and Conditions at any time. Updated versions shall become effective immediately upon publication on the Platform or the Company's official website.
15. Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of Georgia.
Any dispute arising out of or relating to these Terms and Conditions shall first be resolved through good-faith negotiations. If no agreement can be reached, the dispute shall be submitted to the competent courts of Georgia.
